Membership Terms & Conditions 

The Accountable Care Learning Collaborative (ACLC) offers membership (Membership) to those individuals and organizations that wish to participate in the benefits described on the ACLC website. Membership with the ACLC is conditional on agreement, acceptance, and adherence to the Terms and Conditions (Terms) set forth below.

These Terms are subject to change at any time and, while ACLC may provide notice of any such changes, it is the responsibility of members to keep up-to-date with and adhere to the posted Terms. Continued use of the Membership benefits following any such change constitutes the member’s acknowledgement of such change and agreement to follow and be bound by the modified Terms, if any.

Membership Period and Fees

The Accountable Care Learning Collaborative (ACLC) offers membership to those individuals and organizations that wish to participate in the benefits described on the ACLC website and in the membership benefits sheet provided to the organization.  

Membership with the ACLC is conditional on agreement, acceptance, and adherence to the Terms and Conditions (Terms) set forth below. These Terms are subject to change at any time and, while ACLC may provide notice of any such changes, it is the responsibility of members to keep up to date with and adhere to the posted Terms. Continued use of the Membership benefits following any such change constitutes the member’s acknowledgement of such change and agreement to follow and be bound by the modified Terms, if any. The most up to date Terms can always be found on the ACLC website. 

Membership Period and Fees 

Membership with the ACLC will commence upon submission of the new membership form, payment of the initial membership fee, and acceptance of these Terms. Note that your ACLC membership begins the first day of the month that you join. You will receive a one-month grace period when your annual membership expires. For example, if you join on January 15, your membership start date is January 1. With the one-month grace period, your membership end date is January 31 of the following year. 

Membership auto-renews annually, unless participant provides advance notice that it does not intend to allow renewal. An invoice will be sent to the organization 60 days prior to renewal date, with a Net 60 payment term. If invoice is not paid after 60 days, the membership will be terminated.  

ACLC Membership fees are dependent on the size of the organization and number of users. If the size of the organization or number of users significantly changes and exceeds the original pricing structure (such as adding additional EINs or entities, acquisitions of other organizations, etc.), the membership fee is subject to increase. The ACLC will discuss with the main point of contact upon renewal to confirm proper pricing structure for the size of the organization. 

The ACLC reserves the right to suspend or terminate Membership for any breach of these Terms, including failure to pay the membership fee. Membership may not be assigned or delegated without the express written consent of the ACLC. 

Ownership and Use of Content  

All non-public information, materials, and analysis (Content) provided by the ACLC is the sole and exclusive property of the ACLC and its licensors, who retain all right, title, and interest. During the Membership period, members are granted a limited, nonexclusive, nontransferable, non-sublicensable right and license to use, display or print content solely for internal, non-commercial business purposes. Members may not white-label, sell, license, lease, publish, distribute, retransmit, or otherwise provide access to the Content, in whole or in part, to any third parties without the ACLC’s prior written consent. The ACLC reserves the right to update, modify, and remove Content in its sole discretion. 

Membership List  

Each member organization will be publicly identified as a member of the ACLC, including on the ACLC website, unless otherwise requested in writing to the ACLC. 

Confidentiality 

Except as permitted by these Terms, or as required by applicable law, during and following the period of Membership, members agree to keep confidential all material non-public information provided to members by the ACLC, including, without limitation, all Content. To ensure the confidentiality of such information, members shall use the same care as used with member’s own information, but not less than reasonable degree of care. Members agree not to disclose such information to any third party, and not to use any confidential information belonging to the ACLC except as expressly permitted by Membership. 

Warranty and Disclaimer 

The Content provided by the ACLC is based upon information believed to be reliable. The ACLC does not guarantee the accuracy of any Content or other information provided to members, nor shall the ACLC be responsible for professional errors, omissions, or errors of transmission of information. The Content is provided on an “as-is” and “as available” basis and, except as expressly set forth in these Terms, the ACLC makes no other warranty, express or implied, including without limitation, any warranties against infringement or warranties of merchantability or fitness for a particular purpose. Under no circumstances shall the ACLC be liable to members or to any third party for incidental, indirect, special, or consequential damages of any kind, including, without limitation, lost profits, and speculative damages, in connection with Membership.
